5. Client Obligations
Clients agree to:
- Provide accurate and complete information in a timely manner.
- Respond to communication and deliver required materials.
- Make payments according to the agreed schedule.
- Maintain a backup of their content and data.
Failure to comply may result in project delays or termination.
6. Fees and Payment Terms
All fees will be detailed in your service agreement or proposal. Payment methods include wire transfer, credit card/debit card, check or Zelle (as specified). Invoices are due within 7 days unless otherwise stated. All fees are non-refundable once services have been rendered or resources allocated.
7. Intellectual Property
All intellectual property created during the project (e.g., website code, graphics, content) remains the property of WizzDigital LLC until full payment is received. Upon full payment, ownership of custom deliverables will be transferred to the client, unless otherwise stated. Pre-existing or third-party assets used in the project remain the property of their respective owners.
8. Use of Work for Portfolio
We reserve the right to showcase completed projects, including but not limited to websites, designs, marketing campaigns, and other deliverables, as part of our portfolio, on our website, and across our marketing and promotional channels. This includes using the client’s name, logo, and a brief description of the services provided.
If the client has signed an NDA or has explicitly communicated in writing their desire not to be featured in our portfolio or marketing materials, we will fully respect and comply with that request.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. Confidential information will not be disclosed to any third party without written consent, unless required by law.
10. Limitation of Liability
To the fullest extent permitted by law, WizzDigital LLC shall not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of our services, including but not limited to lost profits or business interruption.
11. Warranties and Disclaimers
We strive to provide high-quality services but do not guarantee specific outcomes or results, particularly for marketing services such as SEO or social media engagement, which depend on many external factors.
12. Third-Party Services
If third-party services or products are used (e.g., hosting, plugins, advertising platforms), their terms and conditions apply. We are not responsible for downtime, failures, or policy changes related to third-party providers.
13. Termination
Either party may terminate a project or agreement in writing with 7 days’ notice. In the event of early termination, the client will be invoiced for all work completed up to the date of termination. Outstanding payments must be settled within 7 days.
14. Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our control, including but not limited to natural disasters, war, pandemics, government actions, or internet outages.
15. Governing Law
These Terms are governed by the laws of USA, California. Any disputes arising under these Terms will be resolved in the courts of Los Angeles County.
16. Modifications to Terms
We reserve the right to update or modify these Terms at any time without prior notice. Changes will be posted on our website with the updated effective date. Continued use of our services constitutes acceptance of the modified Terms.
